Service Agreement for Invoice Rise
Please carefully read this agreement before using the Invoice Rise service.
By using the service or clicking “agree,” you are agreeing to be bound by this agreement. If you are agreeing to this agreement on behalf of or for the benefit of your employer, you represent and warrant that you have the necessary authority to bind your employer to this agreement.
This agreement is between Keyanntech Solutions private Limited (Invoice Rise) and the customer agreeing to these terms (Customer).
This agreement provides the Customer access to and usage of an Internet-based software service as specified in an order, as outlined at: invoicerise.com (Service).
a. Customer-Owned Data: All data and logos uploaded by the Customer remain the property of the Customer (Customer Data). Customer grants Invoice Rise the right to use, publicly display, and distribute the Customer Data solely for the purposes of performing under this agreement.
b. Contractor Access and Usage: The Customer may allow its contractors to access the Service in compliance with the terms of this agreement. Such access must solely benefit the Customer. The Customer is responsible for ensuring that its contractors adhere to this agreement.
c. Customer Responsibilities: The Customer must:
d. API: Invoice Rise provides access to its application programming interface (API) as part of the Service. Subject to the other terms of this agreement, Invoice Rise grants Customer a non-exclusive, non-transferable, terminable license to interact with the API solely for the purposes of using the Service.
The Customer may not use the API in a manner that fails to comply with the API technical documentation or any part of the API. If any of these terms are violated, Invoice Rise may suspend or terminate access to the API temporarily or permanently. Invoice Rise may make changes to existing endpoints or fields in API results with at least 30 days' notice. While Invoice Rise will support the previous API version for at least 6 months, new endpoints or fields may be added without prior notice. The API is provided on an 'AS IS' and 'WHEN AVAILABLE' basis, with no liability for changes, temporary unavailability, suspension, or termination.
e. 30-Day Trial Version: If the Customer has registered for a trial use of the Service, access is provided for a 30-day period (unless extended in writing by Invoice Rise). The Service is provided AS IS, with no warranties during this period. All Customer data will be deleted after the trial period unless the account is converted to a paid service.
INVOICE RISE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, AND FITNESS FOR A PARTICULAR PURPOSE. While reasonable physical, technical, and administrative measures are taken to secure the Service, Invoice Rise does not guarantee that the Service cannot be compromised. The Customer acknowledges that the Service may not be error-free and may experience interruptions.
The Customer must pay all fees as specified on the order or, if not specified, within 30 days of receipt of an invoice. The Customer is responsible for the payment of all applicable taxes. This agreement includes one or more orders for the Service, governed by its terms.
a. Definition of Confidential Information Confidential Information includes all non-public information disclosed by one party (Discloser) to the other (Recipient), whether orally or in writing, designated as confidential or reasonably understood to be confidential.
b. Protection of Confidential Information The Recipient must use reasonable care to protect the confidentiality of the Discloser’s information, ensuring it is not disclosed or used for purposes beyond this agreement. Access is limited to employees and contractors who need the information for purposes consistent with this agreement and who have signed confidentiality agreements.
c. Exclusions Confidential Information excludes information that is:
a. Reservation of Rights: Invoice Rise retains all rights to its software, workflow processes, user interface, designs, and other technologies provided as part of the Service.
b. Restrictions: The Customer may not:
c. Aggregate Data: Invoice Rise may use non-personally identifiable Customer Data for enhancing the Service, statistical analysis, and technical support purposes.
a. Term: This agreement continues until all orders have been terminated.
b. Mutual Termination for Material Breach: Either party may terminate this agreement if the other party is in material breach, with a 14-day written notice/cure period.
c. Suspension for Non-Payment:Invoice Rise may suspend or terminate the Service if payment is overdue by more than 15 days.
d. Maintenance of Customer Data:Customer Data will be available for 90 days after termination. Invoice Rise has no obligation to maintain Customer Data beyond this period.
e. Return Invoice Rise Property Upon Termination:Upon termination, the Customer must pay any outstanding amounts and return or destroy Invoice Rise property. Confirmation of compliance may be required.
f. Suspension for Violations of Law:Invoice Rise may suspend the Service or remove Customer Data if it reasonably believes Customer has violated the law.
a. Exclusion of Indirect Damages:Invoice Rise is not liable for indirect, special, incidental, or consequential damages, even if aware of the possibility of such damages.
b. Total Limit on Liability:Invoice Rise’s total liability does not exceed the amount paid by the Customer within the 6-month period prior to the event giving rise to liability.
The Customer must defend, indemnify, and hold Invoice Rise harmless from all claims, damages, and expenses arising from Customer’s use of the Service or associated data.
Governed by Indian Law. Any disputes must be brought exclusively in Indian Jurisdiction, Chandigarh High Courts.
a. Entire Agreement and Changes: This agreement supersedes prior agreements and can only be modified in writing by both parties.
a. No Assignment: Neither party may assign or transfer this agreement without the other’s consent.
c. Independent Contractors The parties are independent contractors.
d. Force Majeure Neither party is liable for events beyond its reasonable control.
e. Feedback Customer agrees to grant Invoice Rise an irrevocable, royalty-free, perpetual license to use submitted ideas or suggestions.
This agreement constitutes the entire understanding between the parties and governs all related interactions.
